Article 4: Pre-sale and Property Delivery

Article 5: Risk Disclosure
- Party B acknowledges that off-plan properties involve construction, delivery, and market risks, and shall assess such risks independently before signing.
- If delays occur due to force majeure during construction, Party A shall promptly notify Party B and negotiate a solution.
Article 6: Property Ownership and Transfer
- Party A guarantees that the property sold has a legitimate title and is free of disputes.
- Party A shall assist Party B in completing property ownership transfer procedures and paying related taxes, in accordance with national and local regulations.
Article 7: Breach of Contract
- If Party B fails to pay according to the contract, Party A may charge a penalty of ______% on the unpaid amount and may terminate the contract.
- If Party A fails to deliver the property as agreed or delivers a substandard property, Party A shall refund all payments made by Party B and pay a penalty of ______%.
- Neither party shall be held liable for breach if performance is prevented by force majeure, but prompt notification and negotiation are required.
Article 8: Dispute Resolution
- This Agreement shall be governed by the laws of the place of signing.
- Any disputes arising from performance of this Agreement shall first be resolved through negotiation; if negotiation fails, either party may submit the dispute to the arbitration institution or court at the place of signing.
Article 9: Miscellaneous
- Any matters not covered by this Agreement shall be handled in a written supplementary agreement, which shall have the same legal effect as this Agreement.
- This Agreement is executed in two counterparts, each party holding one copy, and shall become effective upon signing and stamping.
- Both electronic and paper signatures are valid.
