Article 5: Land Ownership and Transfer

  1. Party A guarantees that the land sold has legitimate ownership, is free of mortgages, and has no disputes.
  2. Party A shall assist Party B in completing land use rights and ownership transfer procedures. Related taxes and fees shall be borne according to national and local regulations, including:
    1. Land transfer fee / transaction price;
    2. Deed tax, stamp duty, and other related taxes;
    3. Land registration fee, surveying fee, and other charges.

Article 6: Land Condition and Defect Liability

  1. Party B acknowledges and agrees to accept the land in its current condition.
  2. If there are undisclosed ownership defects or legal disputes, Party A shall bear corresponding responsibility and assist in resolution.
  3. For natural damages or force majeure during normal use, neither party shall be held liable.

Article 7: Breach of Contract

  1. If Party B fails to pay according to the contract, Party A may charge a penalty of ______% on the unpaid amount and may terminate the contract.
  2. If Party A fails to deliver the land as agreed or ownership is defective, Party A shall refund all payments received and pay a penalty of ______%.
  3. Neither party shall be held liable for breach if performance is prevented by force majeure, but prompt notification and negotiation are required.

Article 8: Dispute Resolution

  1. This Agreement shall be governed by the laws of the place of signing.
  2. Any disputes arising from performance of this Agreement shall first be resolved through negotiation; if negotiation fails, either party may submit the dispute to the arbitration institution or court at the place of signing.

Article 9: Miscellaneous

  1. Any matters not covered by this Agreement may be handled in a written supplementary agreement, which shall have the same legal effect as this Agreement.
  2. This Agreement is executed in two counterparts, each party holding one copy, and shall become effective upon signing and stamping.
  3. Both electronic and paper signatures are valid.
