Article 2. Scope of Work and Project Requirements

  1. Scope of Work: Party B shall complete the following tasks/projects according to Party A’s requirements: _________________________.

Article 6. Confidentiality

  1. Both parties shall maintain strict confidentiality of trade secrets, client information, and technical data obtained during the performance of this Agreement.
  2. Without prior written consent, neither party shall disclose or use such information for any purpose other than fulfilling this Agreement.
  3. Confidentiality obligations shall remain effective for ____ years after the termination of this Agreement.

Article 7. Intellectual Property

  1. Ownership of deliverables and intellectual property rights:

Article 9. Liability for Breach

  1. If Party B fails to perform work obligations or deliverables do not meet the agreed standards, Party B shall bear liability for damages.
  2. If Party A fails to pay remuneration as agreed, Party A shall bear liability for breach and pay overdue interest at the rate of ______%.
  3. In case of force majeure preventing performance of this Agreement, neither party shall bear liability, but both shall negotiate in good faith.

Article 10. Termination

  1. This Agreement shall automatically terminate upon project completion or expiration of the agreed term.
  2. The Agreement may be terminated early by mutual consent, with written confirmation of completed work and settlement of payments.
  3. In the event of a material breach by one party, the other party has the right to terminate this Agreement and claim damages.

Article 11. Dispute Resolution

  1. This Agreement shall be governed by the laws and regulations of the place of signing.
  2. Any disputes shall first be resolved through negotiation. If unsuccessful, the matter may be submitted to the arbitration commission or People’s Court of the place of signing.

Article 12. Miscellaneous

  1. Matters not covered herein shall be addressed by a written supplementary agreement, which shall have the same legal effect as this Agreement.
  2. This Agreement is executed in two (2) originals, with each party holding one, and shall take effect upon signing and stamping by both parties.
  3. Both parties confirm that electronic signatures and paper signatures are equally valid.
