Article 3 – Purpose of Pledge and Loan Amount

Article 4 – Pledge Registration

  1. Party A shall assist Party B in registering the equity pledge in the company’s shareholder register and with the local administration for industry and commerce.

  3. During the pledge period, Party A shall not transfer, sell, gift, or re-pledge the equity, and may not exercise voting rights or dispose of profit rights without Party B’s written consent.

Article 5 – Rights and Obligations

Party A’s Obligations:

  1. Use the loan funds in accordance with the contract;
  2. Ensure the company operates legally during the pledge period;
  3. Not transfer, dispose of pledged equity, or change its nature.

Party B’s Rights:

  1. In case of Party A’s default, lawfully dispose of pledged equity to recover the loan principal and interest;
  2. Monitor the pledged equity and company operations, and request financial and equity information from Party A if necessary.

Article 6 – Repayment and Performance

  1. Party A shall repay the loan principal and interest on the agreed schedule.
  2. If repayment is overdue, Party B is entitled to charge a penalty of ______% and dispose of the pledged equity in accordance with the law.
  3. Party A may repay the loan early with prior notice to Party B and handle interest and fees according to the contract.

Article 7 – Default

  1. If Party A fails to repay or violates pledge regulations, Party B is entitled to:
    1. Charge overdue penalties;
    2. Lawfully dispose of pledged equity to recover loan principal and interest.
  2. If Party B fails to provide the loan as agreed, it shall bear default liability and compensate Party A for resulting losses.
  3. In case of force majeure preventing performance, neither party shall be liable, but both should negotiate promptly.

Article 8 – Dispute Resolution

  1. This contract is governed by the laws of the place of signing.
  2. Disputes arising during performance shall first be resolved through negotiation; if unsuccessful, disputes may be submitted to the local arbitration institution or court.

Article 9 – Other Provisions

  1. Matters not covered by this contract shall be agreed upon in a written supplementary agreement, which has the same legal effect as this contract.
  2. This contract is made in two copies, each party holding one, and takes effect upon signing and sealing.
  3. Both parties confirm that electronic or paper signatures are valid.
