Article 5: Product Quality & After-Sales

Article 6: Platform Rules
- Both parties shall comply with the e-commerce platform’s transaction rules and user agreement.
- If platform rules conflict with this contract, this contract shall prevail, but must not violate mandatory laws and regulations.
Article 7: Liability for Breach
- If Seller fails to deliver on time, Seller shall refund the payment and pay a penalty of ____% of the goods value.
- If Buyer refuses receipt without cause, Buyer shall bear round-trip shipping costs and compensate Seller for actual losses.
- In case of disputes caused by either party’s fault, the responsible party shall bear corresponding compensation.
Article 8: Force Majeure
Neither party shall be held liable for failure to perform due to natural disasters, network failures, policy changes, or other force majeure events; parties shall negotiate in good faith to resolve.
Article 9: Dispute Resolution
- This agreement shall be governed by the law of the place of signing (for cross-border transactions, applicable law may be agreed upon).
- Disputes shall first be resolved through friendly negotiation; if unsuccessful, they may be submitted to the People’s Court at the place of signing or arbitration institution.
Article 10: Miscellaneous
- This contract is signed electronically; both parties confirm that online signatures, order confirmations, and payment receipts have the same legal effect as written documents.
- This contract is made in two copies, each held by Seller and Buyer, or stored in the platform backend, all having equal legal effect.
- Matters not covered may be supplemented via email or platform messages.
