Article 5: Property Ownership and Transfer

  2. Party A shall assist Party B in completing ownership transfer and land use rights change procedures. Related taxes and fees shall be borne according to national and local regulations:
    1. Deed Tax: borne by Party B
    2. Stamp Duty: borne by both parties as required

Article 6: Rental Income and Existing Leases

  1. If the property is leased, Party A shall truthfully disclose the existing lease terms and rental conditions.
  2. Upon delivery, existing lease contracts and income shall be transferred together with the property to Party B.
  3. Party B shall have the right to manage lease arrangements after completion of ownership transfer.

Article 7: Breach of Contract

  1. If Party B fails to pay according to the contract, Party A may charge a penalty of ______% on the unpaid amount and may terminate the contract.
  2. If Party A fails to deliver the property as agreed or if ownership has defects, Party A shall refund all payments received and pay a penalty of ______%.
  3. Neither party shall be held liable for breach if performance is prevented by force majeure, but prompt notification and negotiation are required.

Article 8: Dispute Resolution

  1. This Agreement shall be governed by the laws of the place of signing.
  2. Any disputes arising from performance of this Agreement shall first be resolved through negotiation; if negotiation fails, either party may submit the dispute to the arbitration institution or court at the place of signing.

Article 9: Miscellaneous

  1. Any matters not covered by this Agreement may be handled in a written supplementary agreement, which shall have the same legal effect as this Agreement.
  2. This Agreement is executed in two counterparts, each party holding one copy, and shall become effective upon signing and stamping.
  3. Both electronic and paper signatures are valid.
